1. Agreement to Terms

These Terms and Conditions ("Terms") govern your access to and use of the 5Z Consulting website (5zconsulting.com) and AI-powered business intelligence platform (collectively, the "Service"), operated by 5Z Consulting ("5Z," "we," "us," or "our").

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, you must not access or use the Service.

If you are using the Service on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms.

2. Description of Service

5Z Consulting provides an AI-powered business intelligence platform that:

Connects to your business data sources
Analyzes financial, sales, and operational data using artificial intelligence
Delivers actionable recommendations to improve revenue, reduce waste, and optimize operations
Offers expert-guided analysis and implementation support at the 5Z_Advisory tier

Service features and availability may change over time. We will communicate material changes in advance where reasonably possible.

3. Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use the Service. By using the Service, you represent that you meet these requirements.

4. Account Registration

To access the platform, you must create an account. You agree to:

Provide accurate, current, and complete information
Keep your account credentials confidential
Notify us immediately at support@5zconsulting.com if you suspect unauthorized access
Be responsible for all activity that occurs under your account

One account per individual or entity unless otherwise agreed in writing.

5. Plans, Pricing & Payment

5.1 Free Plan (5Z_Agent)

The free plan provides limited functionality as described on our Pricing page. No credit card is required. We reserve the right to modify or discontinue free plan features at any time with reasonable notice.

5.2 Paid Plans (5Z_Agent+)

5Z_Agent+ is billed monthly at the rate displayed at the time of purchase. By subscribing you authorize us to charge your payment method on a recurring basis.

Billing occurs at the start of each billing period
All fees are non-refundable except as required by law or as expressly stated herein
Failure to pay may result in suspension or termination of your account
Prices may change with 30 days' notice. Continued use after a price change constitutes acceptance

5.3 5Z_Advisory

Advisory pricing is agreed upon during onboarding and governed by a separate Statement of Work or service agreement, which supplements these Terms.

5.4 Taxes

You are responsible for any taxes, duties, or levies applicable to your purchase, unless we are required by law to collect them on your behalf.

6. Cancellation & Termination

6.1 By You

You may cancel your paid subscription at any time from within your account settings. Cancellation takes effect at the end of the current billing period. You will retain access until that date.

6.2 By Us

We may suspend or terminate your account at any time if:

You breach these Terms
We reasonably suspect fraud, abuse, or illegal activity
Required by law

We will provide notice where practicable. In cases of serious breach, termination may be immediate.

6.3 Effect of Termination

Upon termination, your right to access the Service ends. We will delete or anonymize your data within 90 days of account closure, subject to legal retention obligations.

7. Your Data

7.1 Ownership

You retain full ownership of all data you connect to or upload into the Service ("Your Data"). By connecting data sources, you grant 5Z Consulting a limited, non-exclusive license to access and process Your Data solely for the purpose of providing the Service.

7.2 Responsibility for Data

You are responsible for ensuring you have the right to connect and share any data you provide to the Service, and that doing so does not violate any applicable laws, regulations, or third-party rights.

7.3 Data Accuracy

We analyze the data you provide. The quality and completeness of recommendations depends on the accuracy of the data you connect. We are not responsible for errors arising from inaccurate, incomplete, or corrupted source data.

8. AI-Generated Content & Recommendations

8.1 Informational Purpose

All AI-generated analysis, reports, and recommendations provided by the Service are for informational and decision-support purposes only. They do not constitute financial, legal, accounting, or professional advice.

8.2 No Guarantee of Results

Business outcomes depend on many factors outside our control. We make no guarantee that following any recommendation will produce specific financial results. Past performance of recommendations is not a guarantee of future outcomes.

8.3 Your Responsibility

All business decisions remain yours. You are responsible for independently evaluating recommendations before acting on them. 5Z Consulting is not liable for decisions you make based on Service outputs.

9. Acceptable Use

You agree not to:

Use the Service for any unlawful purpose
Attempt to gain unauthorized access to any part of the Service or its infrastructure
Upload malicious code, viruses, or harmful content
Scrape, copy, or reverse-engineer any part of the Service
Misrepresent your identity or affiliation
Use the Service to harm, defraud, or harass others
Violate any third-party data sharing agreements when connecting data sources

We reserve the right to investigate and take action against violations, including account suspension or termination.

10. Intellectual Property

10.1 Our IP

The Service, including its software, design, AI models, algorithms, branding, and documentation, is owned by 5Z Consulting and protected by intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written permission.

10.2 Your IP

We claim no intellectual property rights over Your Data or the outputs generated from it.

10.3 Feedback

If you provide feedback or suggestions about the Service, you grant us a perpetual, royalty-free license to use that feedback to improve the Service. You waive any claim to compensation for such feedback.

11. Confidentiality

Both parties agree to keep confidential any non-public information exchanged in connection with the Service and to use such information only as necessary to fulfill obligations under these Terms. This obligation does not apply to information that is publicly known, independently developed, or required to be disclosed by law.

12. Third-Party Integrations

The Service may integrate with third-party platforms (e.g., accounting software, CRMs). Your use of those integrations is subject to the third party's own terms and privacy policies. 5Z Consulting is not responsible for the availability, accuracy, or behavior of third-party services.

13. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM SECURITY VULNERABILITIES.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, 5Z CONSULTING WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) USD $100.

15. Indemnification

You agree to indemnify and hold harmless 5Z Consulting and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) your breach of these Terms; or (c) your violation of any third-party rights or applicable law.

16. Governing Law & Disputes

These Terms are governed by the laws of [Jurisdiction], without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved by binding arbitration in [City, Jurisdiction], except that either party may seek injunctive relief in a court of competent jurisdiction to prevent irreparable harm.

17. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes via email or a notice within the platform at least 14 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

If you do not agree to the updated Terms, you must stop using the Service and cancel your account before the effective date.

18. Miscellaneous

Entire Agreement: These Terms (together with our Privacy Policy and any applicable service agreements) constitute the entire agreement between you and 5Z Consulting regarding the Service.
Severability: If any provision of these Terms is found unenforceable, the remaining provisions continue in full effect.
No Waiver: Failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce it in the future.
Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights in connection with a merger or acquisition.
